Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Astragal (“Astragal,” “we,” “us”), a field-service management platform operated from London, Ontario, Canada. By creating an account or using Astragal, you agree to these Terms on behalf of yourself and the business you represent.

Your account

You must provide accurate information when creating your workspace and keep your login credentials confidential. You are responsible for all activity that happens under your account. Each person using the service needs their own user account — sharing logins is not permitted.

Free trial

Your trial is free, needs no payment card, and ends automatically. We never charge you until you add a payment method. If the trial ends without one, your workspace becomes read-only — nothing is deleted, and adding a payment method restores it.

What you pay for your plan

Your plan and any add-ons are charged at the start of each cycle, based on the number of people in your workspace. The price is set per person and may differ between the first person and each additional person; the exact figures for your workspace, at your current headcount, are always shown in Settings → Plan & billing before you commit to them.

How often you pay. A plan may be offered on more than one term — monthly, monthly with a one-year commitment, or paid a year at a time — and the discount for a longer term is already inside the price you are shown, so there is nothing to claim. A yearly payment is taken in one go, at the start of the year it covers, and is not refundable part-way through. Where your plan is paid a year at a time, any add-ons you have are paid for that same year at the same time, at twelve months of their monthly price; the free months of a longer term apply to the plan itself. Included amounts are always monthly: a yearly payment does not hand you a year of them up front.

A one-year commitment means what it says: the discounted price is offered on the basis that you stay for the twelve months it covers. You can still cancel at any time, and we will not bill you after you do — but the discount applies to the term as a whole, so leaving early ends it rather than earning it.

How people are counted. Each billing month you are charged for the highest number of active people your workspace had at any point in that month, at the full monthly price for that number. Somebody added part-way through a month is charged for that whole month, not a part of it. Removing somebody does not reduce that month’s charge — the reduction takes effect from the following billing month. This stops people being removed on the last day of a month purely to avoid the charge, and it means the number you are billed for can be higher than the number of people on your team today. Both figures are shown to you in Settings → Plan & billing.

Add-ons

Some capabilities — currently the two telephone options — are sold separately from your plan and can be switched on and off independently of it. An add-on priced per company costs the same whatever your headcount; an add-on priced per person is charged for the same number of people as your plan. Switching an add-on on or off part-way through a month is charged only for the part of the month it was on.

The Starter plan

Starter is for new businesses of up to three people. It is offered only to businesses that sign up after it became available, and only paid monthly. Everything else about it — the features, the included amounts, the add-ons, the free trial — is the same as Standard.

How the fee is worked out. Each billing month you pay 5% of the payments you record in Astragal in that month, however your client paid (card, e-transfer, cheque, cash or anything else). A payment counts in the month it is entered into Astragal. The tax share of each payment is left out; where tax is more than 30% of an invoice it is treated as 30%. The fee is at least $15 a month — including a part month, and including the month you cancel in — and never more than Standard would cost your team that month, at Standard’s price at the time. Add-ons are charged on top at their normal prices.

What does not count. Payments brought in from another system; payments entered before your first billed Starter month, including during the free trial; card payments still waiting to be confirmed (they count in the month they are confirmed); and payments the card company rejects.

When it is charged. The fee is worked out after each billing month ends and charged on its own receipt, with sales tax added the same way as for the plan, usually the next day. It is charged in Canadian dollars. If your invoices are in another currency, your payments are converted at that day’s rate. The currency is fixed when Starter billing starts, and while you are on Starter it can only be changed by contacting us; a change applies from your next billing month.

Changes after a month is billed. A refund, or a payment removed or reduced, in the same month simply lowers that month. If that month has already been billed, the change is taken off your next month instead, in proportion to what was actually charged for that payment. A billed month is never reopened, no fee is refunded, and the next month is still at least $15. Undoing a refund adds back what it took off. Cancelling (voiding) an invoice does not change the fee, because the money was still received; to correct a bounced cheque, delete or reduce the payment. If you cancel, the final month counts only payments entered before your plan ends.

Moving to Standard. Your business moves to Standard automatically, at the start of a billing month (never part-way through one), when either: a fourth person joins your team; or the 5% for your last three full billed Starter months, before the minimum and the upper limit and leaving out changes to earlier months, averages more than Standard would cost your team. We tell the account owner by email when a move is decided, with the date and the new monthly price, and send a heads-up beforehand when a single month goes over. During the free trial, a fourth person or choosing Standard simply switches the trial to Standard straight away.

Leaving Starter is final. Once a business has been billed for at least one Starter month and then leaves Starter for any reason, it cannot choose Starter again, and neither can a new business signed up by someone who owns or runs it.

Your terms are fixed. The percentage, the minimum, the three-person limit and the three-month rule you start Starter with stay the same for your business even if we change Starter later. The upper limit always follows Standard’s current price.

Questioning a fee. Settings → Plan & billing lists every payment that counted in each month, and each month can be downloaded. If a fee looks wrong, email us from the address below with the month and what you think is wrong, and we will look into it.

Fair use. Starter is priced on the payments you record. You must record in Astragal the payments you receive for work you run through Astragal. If a business plainly is not doing so, we may move it to Standard with 30 days’ notice.

Included amounts and going over them

Your plan and your add-ons may include a stated amount of certain measured things each month. Which measures apply to you depends on what you have bought. What is included, how much of it you have used, and the rate charged beyond it are all shown in Settings → Plan & billing, and we email the account owner when you pass an included amount.

Text messages are counted in segments, which is how the phone networks bill them: a short message is one segment and a long one is more than one, and what your plan includes is stated in segments for that reason.

Going over an included amount does not stop the service: the extra is measured over the month, rounded once per month per measure, and charged after that month ends, so it appears on a later invoice than the plan it relates to. If your plan is paid a year at a time, anything used beyond your included amounts is invoiced on its own after the month it happened in, rather than waiting for your next yearly payment. Usage that reaches us after a month has already been closed off is carried onto the next one, and the invoice says so. Included amounts do not carry over to the next month and are not refundable or exchangeable for money. Each measure that has an included amount also carries a much higher safety limit that does stop the activity, so that a fault or a runaway loop cannot generate an unlimited bill; we will tell you if you reach it.

Invoices, payment and non-payment

Invoices are issued by our payment processor and charged to the payment method you have given it. Taxes are added where they apply. If a payment fails we will email you and retry; if it is still unpaid after the grace period stated in that email, your workspace becomes read-only until the balance is settled. Nothing is deleted while it is read-only.

We never charge interest or a late fee on an overdue amount. Where an unpaid balance leaves us out of pocket, the only steps we take are pausing the service and recovering costs we have actually incurred.

Changing plan, and cancelling

You can change plan and switch add-ons on or off at any time from Settings → Plan & billing. Where your account is paid by card, you can also cancel there. An account we invoice by hand is cancelled by emailing us, and we act on the request as of the day you send it. Cancelling ends the subscription and issues a final invoice covering the period up to that point, including anything used beyond your included amounts. Your data stays accessible for the period you have already paid for. Fees already paid are non-refundable except where required by law; annual terms, where offered, are not refundable part-way through.

If we change the price of a plan or add-on, we will tell account owners by email before it takes effect for them.

Your data

Your business data — your clients, jobs, quotes, invoices, and messages — belongs to you, not us. We only use it to operate the service on your behalf. If you close your account, we retain your data for 30 days so an accidental cancellation can be reversed, then delete it permanently. You can request an export of your data before closing your account by contacting support.

Acceptable use

You may not use Astragal to send spam, unsolicited marketing, or unlawful messages, or to harass, defraud, or mislead anyone. Text and email sending through the platform is subject to fair-use limits and the rules of the carriers and providers we rely on to deliver them. We may suspend accounts that abuse the service or put it at risk.

Service availability

We work to keep Astragal available and reliable, but the service is provided “as is” without guarantee of uninterrupted access. We are not liable for indirect, incidental, or consequential damages arising from your use of the service, to the extent permitted by law. Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose.

Termination

You may stop using Astragal and close your account at any time. We may suspend or terminate accounts that violate these Terms, with notice where practical.

Changes to these Terms

We may update these Terms as the service evolves. If we make a material change, we will notify account owners by email before it takes effect.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
